GENERAL TERMS AND CONDITIONS FOR PARTICIPATING IN AGENYZ VIETNAM'S PRODUCT REFERRAL PROGRAM.

The Terms and Conditions regarding the referral of Products provided by AGENYZ VIETNAM COMPANY LIMITED (“Agenyz”) to individuals and organizations with usage needs under the “Health as the Source – Prosperity as the Companion” Program (“Terms and Conditions”).

Capitalized terms used in these Terms and Conditions shall have the meanings ascribed to them in the DEFINITIONS section of these Terms and Conditions. The Referrer should read and understand these Terms and Conditions before confirming or requesting the provision/implementation of related contents. By registering or confirming hereunder, it is understood that the Referrer has read, clearly understood, and fully agreed to these Terms and Conditions.

1. SCOPE OF APPLICATION

These Terms and Conditions apply to the referral of Products provided by Agenyz to organizations and enterprises with usage needs under Agenyz's Program.

2. DEFINITIONS

Within the scope of these Terms and Conditions, unless otherwise specified, the following terms shall be understood as follows:

2.1.Referrer: refers to an Collaborator or Partner of Agenyz

2.2. Products: means one, several, or all products currently or in the future provided by Agenyz.

2.3. Successful Referral Transaction: means a transaction referring a Customer that satisfies the conditions and regulations in Section 4 of these Terms and Conditions or according to Agenyz's regulations and policies in each period.

2.4. Personal Account: A private and secure area for the User after registration.

2.5. Web/Website: agenyz.vn and all domain names owned by the Company.

2.6. Personal Data: As defined in the Law on Personal Data Protection No. 91/2025/QH15, Decree No. 356/2025/ND-CP detailing a number of articles and measures for the implementation of the Law on Personal Data Protection, and related legal documents.

2.7. Intellectual Property: Including but not limited to trademarks, trade names, logos, designs, interfaces, images, content, databases, and other objects of intellectual property rights as prescribed by current laws.

3. PURPOSE AND PRINCIPLES OF IMPLEMENTATION

3.1. The Referrer agrees to refer Agenyz's Products to Customers with usage needs.

3.2. The Referrer may submit a request to register as an Collaborator or Partner of Agenyz to conduct customer referral activities.

3.2.1. Conditions for Becoming an Agenyz Customer Referral Partner

To become an Agenyz Customer Referral Partner, you must simultaneously meet the following conditions:

- Have a valid account on the Website;

- Have successfully completed at least one order on the Website;

- Submit a request to become a Partner

To become a collaborator, members can submit a request through one of the following methods:

· Contact AGENYZ Support Department directly via official channels;

· Create a registration request on AGENYZ's official website.

Note: Members must provide Agenyz with citizen identity card/Passport to complete the registration process.

- Be approved and accepted by Agenyz to become a Partner.

1.1.1. Conditions for becoming an Agenyz Partner

To become an Agenyz Partner, Members must meet the following conditions:

- Have a valid account on the website

- Submit a proposal to become a Partner

To become a Partner, Members can submit a request through one of the following methods:

· Contact AGENYZ Support directly via official channels;

· Create a registration request on the official AGENYZ website.

- Note:

· Individual members must provide Agenyz with their Citizen Identity Card/Passport information to complete the registration process.

· Individual business owners must provide their Business Registration Certificate.

· Company members must provide their Enterprise Registration Certificate.

- Have their agent status reviewed, approved, and confirmed by Agenyz.

3.3. The Referrer shall introduce and provide information about the Products to potential Customers in accordance with the content and announcements of Agenyz applied to the Program. After the Referrer has introduced the Products to the Customer, the Customer shall proceed to register a Personal Account linked to the Referrer's referral code on the Website and create an Order.

3.4. To avoid any misunderstanding, the referral activities as stipulated in these Terms and Conditions do not establish any joint venture or partnership relationship between the Referrer and Agenyz in any form.

4. SUCCESSFUL REFERRAL TRANSACTION

A Successful Referral Transaction is a transaction that meets the following criteria based on Agenyz's monthly evaluation and summary: The referred Customer has officially registered a personal account on the website using the Referrer's referral code and completed an order on the website in accordance with Agenyz's requirements. Agenyz's system will automatically record and aggregate the transactions of the referred Customer into the Referrer's Account created on the website.

5. INCENTIVES, CONDITIONS, AND METHODS OF IMPLEMENTATION

5.1. For Successful Referral Transactions, Customers may enjoy benefits in accordance with Agenyz's regulations and policies in each period.

5.2. Types of gifts/transfer amounts and conditions for receiving them: According to Agenyz's internal regulations, policies, and program rules announced in each period.

5.3. Time of payment/disbursement: To be notified by Agenyz to the Referrer via the Referrer's Personal Account on the Website or through phone calls, email, direct discussion, or other forms in accordance with internal regulations, policies, and program rules announced by Agenyz in each period

5.4. In cases where the Referrer enters incorrect account information or incentive receiving addresses, Agenyz will notify through the website or other forms as per internal regulations, policies, and program rules announced in each period. Within 60 days from the date of Agenyz's notification, the Referrer should contact Agenyz to conduct a review of the incentive payment. After this period, if Agenyz does not receive information from the Referrer, the incentive that the Referrer is entitled to under the program conditions will no longer be valid.

5.5. The regulations and conditions regarding gifts/transfer amounts under these Terms and Conditions may change according to Agenyz's regulations and policies from time to time. Agenyz reserves the right to make changes without prior notice to the Referrer regarding such changes.

6. RIGHTS AND RESPONSIBILITIES OF THE PARTIES

6.1. Agenyz has the following rights and responsibilities:

a) Provide the Referrer with content and instructions regarding Product features so that the Referrer can introduce and advise Customers;

b) Reserve the full right to decide on evaluation criteria, selection, and identification of Customers and Successful Referral Transactions that meet Agenyz's requirements and conditions to decide on or refuse to establish transactions with Customers in accordance with the law and Agenyz's internal regulations without requiring any opinion from the Referrer;

c) Reserve the right to refuse or cease paying benefits to any Referrer who fails to perform or performs incorrectly according to the provisions of these Terms and Conditions. In case of differing interpretations regarding the same content of the Customer referral program, Agenyz shall have the full right to interpret such content, and Agenyz's interpretation shall be the final legal basis for applying referral regulations. In such cases, the Customer and the Referrer commit to accepting and making no complaints or lawsuits;

d) Not be held responsible for any disputes arising between the Referrer and the Customer related to the referral of Agenyz Products, or between the Referrer and any other third party;

e) In all cases and at any time, Agenyz reserves the full right to terminate the Referrer's referral activities, and to reclaim or recover gifts, transfer amounts, items, and/or other benefits if Agenyz discovers:

(i) The Customer and/or the Referrer do not meet the eligibility conditions to participate in the referral program as per Agenyz's regulations and policies at the time Agenyz evaluates the conditions; or

(ii) The Customer and/or the Referrer engage in fraudulent, counterfeit, or dishonest acts regarding the conditions for participating in Agenyz's Customer referral program.

f) Other rights as prescribed by these Terms and Conditions and the provisions of law.

6.2. The Referrer has the following rights and responsibilities:

a) Not to use any images, trademarks, logos, or other intellectual property assets of Agenyz, nor any related documents or information of Agenyz for any purpose without prior written consent from Agenyz;

b) Comply with the commitment of having full civil legal capacity and sufficient authority to sign and execute this Agreement in accordance with legal regulations and the Referrer's internal rules;

c) Bear all related taxes and fees arising from the receipt of benefits in accordance with current laws (if any);

d) Not to act on behalf of, represent, or use the name of Agenyz to request or receive money, assets, and/or any other benefits from Customers (including but not limited to managers, employees, representatives, or consultants of the Customer), nor to offer or provide money, assets, and/or any other benefits to Customers, or engage in any behavior that implies or suggests such actions in any form;

e) Not to act on behalf of, represent, or use the name of Agenyz to negotiate, guarantee, or sign any forms, documents, contracts, or agreements with Customers or any third party;

f) Comply with the regulations, requirements, and instructions of Agenyz regarding the referral activities under these Terms and Conditions;

g) Not to take advantage of Agenyz's name to perform tasks outside the scope of work under these Terms and Conditions or to engage in illegal acts or illicit enrichment activities;

h) During the effective term of Customer referral, the Referrer commits to prioritizing the referral of Customers with product needs to Agenyz. This means that if the Referrer has referred a specific Customer to Agenyz, they shall not simultaneously refer that Customer to any other individual or organization in the same business field, except with prior written approval from Agenyz;

i) Commit to returning to Agenyz any gifts, transfer amounts, items, and/or other benefits (if any) received in the cases specified in Point (e), Clause 6.1 of this Article;

j) Comply with the laws of Vietnam and the Referrer's internal regulations (if any) regarding anti-bribery and anti-corruption;

k) Other rights and obligations as stipulated in this Agreement and the provisions of law.

7. CONFIDENTIALITY

7.1. The Referrer commits not to disclose any information of Agenyz related to this referral transaction (including but not limited to the terms of this agreement, information about Agenyz products, Customer information, transaction data, etc.) (collectively referred to as "Confidential Information").

7.2. The Referrer may provide confidential information as required by law or in connection with legal proceedings before a court, provided that the Referrer notifies Agenyz before providing such information.

7.3. The confidentiality of information as agreed in this article is committed to by the Referrer, even if the referral transaction under these Terms and Conditions becomes void or terminates due to legal regulations and/or unforeseen circumstances.

8. TERMINATION OF REFERRAL TRANSACTIONS

8.1. The Program and Customer referral transactions shall be terminated in the following cases:

a) Upon the expiration of the "Health as the Source – Prosperity as the Companion Program" as stipulated and notified by Agenyz, or when the budget is exhausted, whichever comes first;

b) Agenyz unilaterally terminates the transaction when Agenyz deems that:

· The Referrer fails to meet the referral targets prescribed by Agenyz in each period;

· The Referrer intentionally uses images or documents provided by Agenyz for purposes other than Customer referral without Agenyz's consent;

· The Referrer utilizes this Agreement and documents related to Agenyz's Products and Services for illicit enrichment;

· The Referrer violates any other responsibilities stipulated in these Terms and Conditions or violates the law;

c) The execution of this transaction affects the legal rights and interests of Agenyz or is inconsistent with Agenyz's policies and regulations in each period;

d) According to a notice or decision by Agenyz at any time.

8.2. Upon termination of the transaction, the Referrer must hand over and/or destroy the documents and information regarding the Products and Services that Agenyz provided to the Referrer.

9. AMENDMENTS AND SUPPLEMENTS TO TERMS AND CONDITIONS

9.1. The Referrer agrees that at any time, Agenyz reserves the right to amend or supplement these Terms and Conditions as well as the regulations and policies regarding Customer referral.

9.2. All such amendments, supplements, or cancellations shall take effect from the time Agenyz notifies the Referrer by displaying them at the company's headquarters, advertising/announcing on mass media, updating on the website, via email, mobile applications, hard copy documents, and/or any other means that Agenyz deems appropriate, or at a specific time stated in the notification.

10. GENERAL PROVISIONS

10.1. The Referrer commits to strictly implementing the terms agreed upon in these Terms and Conditions.

10.2. In the event that any provision of these Terms and Conditions is held to be invalid by a judgment of a competent authority, the remaining provisions shall remain in full force and effect for the Parties. Any matters not stipulated in these Terms and Conditions shall be implemented in accordance with relevant legal regulations.

10.3. By the Referrer declaring and providing Customer information to Agenyz on Agenyz’s website and confirming agreement to the contents of these Terms and Conditions, it shall be determined that the Referrer has agreed to and signed a complete contract regarding the referral of Customers with needs to use Agenyz's Products and Services, which shall be fully enforceable against the Referrer. The Referrer shall have no complaints or lawsuits regarding the conclusion of this referral contract through this electronic method and agrees that this fulfills the conditions prescribed by law for contract conclusion, including conditions regarding electronic contracts and electronic signatures.

10.4. The Referrer confirms and agrees that these Terms and Conditions posted on Agenyz’s website have been fully explained by Agenyz, providing complete information regarding the contents herein; furthermore, the Referrer has read, agreed to the entire content, and received these Terms and Conditions.
